Portugal can support a local operating company, a European market-entry platform or a founder-led business connected to a relocation plan. The structure should reflect actual customers, management, premises, people, funding and the countries where services or products are delivered.

A sociedade por quotas, commonly called an Lda, is the usual limited-liability form for a private business. Single-owner versions are also available. Larger ventures may consider a sociedade anónima, while an overseas company may deliberately use a branch.

Tax activation, accounting, beneficial-ownership reporting, social security, employment, licences and banking require separate attention.

Can a foreigner own a Portuguese company?

Foreign individuals and companies can generally own Portuguese companies. Founders and managers need Portuguese tax numbers, and non-resident participants may face additional representation, document, translation or banking procedures. Company ownership does not automatically provide residence.

A Portuguese company must coordinate corporate income tax, VAT, payroll, social security, annual accounts and commercial-register information. Cross-border transactions, employees, local establishments and the chosen tax period can add further obligations.

What is an Lda?

An Lda is a private limited company whose capital is divided into quotas. It is commonly used by owner-managed operating and holding businesses.

Can one person form the company?

A single person or legal entity can generally form a single-member limited company, subject to the chosen structure and documentation.

Do foreign founders need a Portuguese NIF?

Founders and managers generally need Portuguese tax identification. Non-residents may also need representation or additional documentation depending on current rules.

Can the company be formed without travel?

Remote coordination may be possible through powers of attorney and accepted identification procedures. The selected formation channel and bank may have separate requirements.

Does registration include a bank account?
