Singapore company formation
Register a company in Singapore.
Build the legal entity, local governance and operating registrations around a credible Asia-Pacific business plan.
Overview
Make the Singapore company match the regional role.
Singapore is widely used as an Asia-Pacific operating, holding and coordination base. The useful starting point is not the registration form; it is the activity the company will perform, where management decisions will be made, how revenue will flow and which people will carry out the work.
A local private company limited by shares is the most common structure for an independent operating business. It provides a separate legal personality and a familiar governance framework, but it also brings local officer, record-keeping, filing and tax obligations.
ACRA incorporation does not by itself complete bank onboarding, tax registrations, employment arrangements, work passes or activity-specific licences.
Can a foreigner own a Singapore company?
Foreign individuals and corporate shareholders can generally own a Singapore company. The company must still satisfy local governance requirements, including at least one ordinarily resident director, a local registered office and a qualified company secretary appointed within the required period. Ownership does not itself create residence or work rights.
Entity selection
Choose the structure around control, risk and continuity.
The right form depends on whether the venture is independent, jointly owned, part of an overseas group or only testing the market.
| Structure | Often considered when | Key planning points |
|---|---|---|
| Private company limited by shares | An operating or holding business needs a separate Singapore legal entity. | Resident director, secretary, registered office, share records and recurring filings must be maintained. |
| Limited liability partnership | Two or more partners want operational flexibility with separate legal personality. | Partners' rights, local manager requirements, tax treatment and succession should be reviewed. |
| Branch office | An overseas company intends to operate directly in Singapore. | The branch is not separate from the foreign parent; local agent, exposure and tax consequences require review. |
| Representative office | A foreign business is conducting temporary non-revenue market research. | Permitted activities are limited and it is not a substitute for a trading company. |
| Sole proprietorship / partnership | A small owner-operated activity is being considered. | No corporate liability separation; foreign eligibility and local manager requirements may apply. |
Information to prepare
Set the governance before submitting the registration.

Formation process
A clear path from business brief to operating company.
The sequence may change where the activity is regulated or a licence, work pass or bank account has its own prerequisites.
Confirm activity and structure
Map customers, contracts, management, owners and regional functions before selecting the entity.
Choose and clear the name
Check the proposed company name and whether any activity or name requires referral.
Confirm officers and ownership
Document shareholders, resident director, registered office, share capital and constitution.
File through ACRA
Submit the incorporation application and organise the approved company records.
Appoint and document
Maintain registers, appointments, share records and the company secretary arrangement.
Connect tax, banking and licences
Coordinate tax, accounting, employment, financial access and activity approvals as relevant.
Accounting & Tax
Connect the financial year, IRAS filings and ACRA annual return.
The accounting close, corporate income tax process and annual corporate filing are related but distinct workstreams. The company's financial year end, entity status, transactions, workforce and GST profile determine what must be prepared and when.
Build the corporate tax cycle from the financial year end.
Singapore companies generally review Estimated Chargeable Income and file the applicable Form C-S, Form C-S (Lite) or Form C. Filing waivers, dormant-company treatment and the appropriate return must be assessed against the current facts.
- Confirm the financial year end and the corresponding Year of Assessment.
- Assess the ECI requirement and whether a current filing waiver applies.
- Prepare the applicable corporate income tax return, computation and supporting schedules.
- Review tax residency, related-party transactions, foreign income and available relief where relevant.
Prepare accounts that support both tax and corporate filing.
Singapore-incorporated companies generally prepare financial statements unless a specific exemption applies. Whether financial statements must be filed, and in which XBRL or PDF format, depends on the company's type, size and status.
- Maintain ledgers, source documents, bank reconciliations and closing schedules.
- Prepare financial statements under the applicable accounting framework.
- Assess audit exemption and director-approval requirements for the company.
- Confirm the financial-statement filing format and XBRL scope required by ACRA.
Monitor GST, payroll reporting and cross-border payments.
GST and employer reporting follow the company's actual turnover and workforce. Payments to non-residents can create a separate withholding-tax review depending on their nature and where services are performed.
- Monitor taxable turnover under both retrospective and prospective GST tests.
- Register, invoice, account for GST and file returns where registration applies.
- Maintain payroll records and prepare IR8A or AIS employment-income reporting as required.
- Review interest, royalties, management fees and service payments to non-residents for withholding tax.
Keep public company information and financial reporting aligned.
Every Singapore company has an annual-return cycle with ACRA. The information filed should remain consistent with the company's current directors, secretary, members, shares, registered office and financial statements where filing is required.
- Close the accounts and complete the required financial statements.
- Coordinate director approval, audit or meeting steps where applicable.
- File the annual return with accurate company and share information.
- Maintain statutory registers and file event-driven changes separately when they occur.
Turn the year end into a controlled sequence.
Bookkeeping, tax review and corporate filing should use the same approved records while retaining separate owners and filing checks.
Close the records
Collect source documents, reconcile balances and prepare the accounting schedules needed for statements and tax.
Confirm the obligations
Assess ECI, corporate tax, GST, employee reporting, withholding tax and financial-statement requirements.
Complete IRAS and ACRA submissions
Submit the applicable tax returns, GST or employer filings, annual return and financial statements where required.
Keep records and registers current
Retain the supporting file, update statutory information and monitor transactions or changes that create new obligations.
Planning overview only. Exact ECI, Form C-S, Form C-S (Lite), Form C, GST, employer, withholding-tax, annual-return and financial-statement requirements and deadlines must be confirmed for the company's type, tax status, transactions and financial year end.

Frequently asked questions
Practical questions before you register.
What is the usual company type?
A private company limited by shares is the common form for an independent operating or holding business. A branch, LLP or representative office may suit a different commercial purpose.
Do I need a Singapore-resident director?
A local company must have at least one director ordinarily resident in Singapore. The suitability, duties and practical governance of the appointment should be planned before filing.
When is a company secretary required?
A local company must appoint a qualified company secretary within the statutory period. The secretary supports the company's registers, filings and governance calendar.
Can registration be completed without travel?
Formation can often be coordinated remotely, subject to identity verification and document requirements. Banking, licences or immigration may involve separate procedures.
Does incorporation include a bank account?
No. Each financial institution conducts its own due diligence and decides whether the ownership, activity, markets and expected transactions fit its requirements.
Does a Singapore company provide a work pass?
No. Company registration and immigration are separate. Any work pass depends on the role, applicant, employer, salary, qualifications and current Ministry of Manpower rules.
